Because they are already in trouble with the EU, a publishing deal would not have made much difference.
Sony/ATV would be rather small even combined with BMG Music Publishing.
And UMG is now the biggest label & publisher. |

If Sony want to buy out the BMG joint venture, with the EU looking at that again, maybe they thought the publishing was too much? |

1,6 billion euro was more than Bertelsmann had hoped for (1,3 billion).
Another important point of the deal was that Vivendi agreed to a settlement of the Napster-case (for 60 million Euro).
It will take some time, but in the end the merger will go through.
I don't understand why Sony didn't buy the company. No risk whatsoever. |

Well it eventually went very quickly - but is it really going to get past the EU mergers commission? |

There is not enough money on the table. Bertelsmann is still hoping to make more. |
